EZTalking Terms of Service

Welcome to EZTalking.

Thank you for choosing the EZTalking English learning platform (the "Platform"). These Terms of Service (the "Terms") govern your use of all products and services provided by EZTalking, including the website, applications, AI courses, voice interaction, scoring systems, teaching videos, and other features.

Please read these Terms carefully and confirm that you have fully reviewed and agreed to them before using the Platform. If you do not agree with any part of these Terms, do not use the Service.

I. Eligible Users

The Platform serves users including, but not limited to, the following groups:

  • Language learners (students)
  • English teachers
  • Parents or guardians (account creators for minors)
  • Partner institutions (tutorial schools and schools)

II. Conditions of Use

  • Personal information: You must provide accurate registration information and comply with the EZTalking Privacy Policy.
  • Use of course content: The teaching content, images, audio files, and AI functions provided by EZTalking are for learning purposes only and may not be reproduced, redistributed, or used commercially.

III. Platform Functions

  1. Learning Materials and Voice Practice

    Users may browse courses, materials, practice exercises, and AI voice scoring services available on the Platform. The system records your answers, voice, and learning performance to track progress and support statistical analysis.

  2. Teacher and Class Management

    Teachers may assign homework, review student learning status, and use AI-driven analytics. Any interaction with students must comply with educational ethics and platform rules.

  3. Course Creation and Uploads

    If you are an EZTalking partner educator or content creator, you may upload content according to the EZTalking educator agreement and must ensure that you own or are authorized to use the teaching materials.

IV. Content Uploads and Licensing

Your Content and Conduct

Users may upload voice recordings, text, homework responses, teaching materials, and interactive dialogue that relate to learning on the Platform. By uploading or submitting any content, you understand and agree to the following:

  • Your uploaded content must not violate any law or these Terms, including the EZTalking Community Guidelines.
  • You may not upload content containing another person's copyright, portrait rights, trademarks, or other intellectual property unless you have obtained lawful authorization.
  • The Platform reserves the right to use automated technologies, including AI recognition and comparison tools, to detect inappropriate content, plagiarism, malware, and spam.
  • User comments, voice recordings, and practice responses are licensed to EZTalking for internal analysis, improvement, and teaching research.
  • You may not capture screenshots, record, extract, or reproduce Platform content for use on other platforms, groups, or publications.

Rights You Grant

Content Ownership

You retain ownership of the content you upload, but you must grant EZTalking and users certain usage rights so that Platform functions and learning interactions can operate normally.

License Granted to EZTalking

You agree to grant EZTalking, its affiliates, and technical partners the right to use, analyze, display, and create derivative processing of the content you upload for education, testing, AI scoring, teaching statistics, and platform promotion. This license is:

  • Non-exclusive, royalty-free, and worldwide
  • Transferable and sublicensable
  • Inclusive of use, reproduction, distribution, display, performance, and creation of derivative works

License Granted to Other Users

If your uploaded content is publicly accessible, such as in a shared teaching materials area or a teacher example section, other users may view or interact with it through Platform features such as playback, embedding, and classroom viewing for non-commercial purposes. This license is non-exclusive, royalty-free, and limited to use within the Platform. It does not authorize downloading or offline reuse.

License Duration and Content Removal

You may delete the content you upload at any time. Within a commercially reasonable period and reasonable technical limits, EZTalking will stop displaying and providing access to that content. However:

  • Non-public system copies may still be retained if the content has already been used in another user's course records, homework interactions, or AI training materials.

When EZTalking May Remove Content

If we reasonably believe that content you upload or publish (1) violates these Terms or the Community Guidelines, or (2) may harm Platform operations, other users, or third parties, EZTalking may remove the content or restrict access without prior notice.

When content is removed or restricted, we will attempt to notify you and explain the reason whenever possible. However, EZTalking may act without notice when:

  • Required by judicial, police, or regulatory investigations
  • The content involves illegality, infringement, system security risks, or fraud
  • Action is necessary to avoid legal risk for the Platform or its affiliates
  • Action is necessary to protect Platform integrity and teaching quality

Violation Handling and Warnings

The Platform may issue reminders or warnings for conduct or content that violates the Community Guidelines. Depending on the seriousness and frequency of the violation, EZTalking may suspend your upload functions, restrict interaction privileges, or permanently disable your account.

If you believe an enforcement action was made in error, you may file an appeal through our customer service email. We will conduct a further review based on the actual content and Platform policies.

Do not use another account to avoid restrictions or re-register. If you violate this rule, EZTalking may permanently terminate your account and related service access, and reserve the right to pursue legal remedies.

Intellectual Property and Copyright Protection

If you are a copyright or trademark owner and believe that content on the Platform infringes your rights, please send a formal notice to sales@ez-ai.com.tw and provide the following information:

  • Name and contact details of the rights holder
  • A link to or clear description of the allegedly infringing content

EZTalking will handle such notices in accordance with Taiwan copyright law and Platform policy, and may terminate the service rights of repeat infringers when appropriate.

V. User Responsibilities

  • You may not use EZTalking to spread inappropriate speech, harass or bully others, or plagiarize another person's work.
  • You may not use bots, automated programs, or crawlers to collect data from the Platform without authorization.
  • If an account is involved in violations, EZTalking may suspend access, delete the account, and reserve the right to pursue legal action.

VI. Payments and Membership Plans

  • Some services on the Platform are paid services. For payment methods and refund policies, please refer to the payment notice.
  • If you use the Platform through a school or institutional authorization, you must comply with the terms stated in the relevant partnership plan.

VII. Terms for Minors

  • EZTalking provides age-appropriate content and functions for minors and complies with applicable regulations.

VIII. AI Technology and Learning Analytics

  • The Platform uses AI technologies for speech scoring, answer analysis, pronunciation correction, and related features.
  • Your learning data is used only for internal learning optimization in accordance with the Privacy Policy.

IX. Platform Updates and Changes

  • EZTalking reserves the right to add, modify, or remove any functions or content at any time.
  • If there is a material change to these Terms, we will notify you through a website announcement or email.

X. Downloadable Software and Usage Rights

Software License

If EZTalking teaching services include downloadable applications or software, such as a mobile learning app, voice practice tool, or desktop application, then unless otherwise expressly stated, EZTalking grants you a worldwide, royalty-free, non-exclusive, non-transferable, non-sublicensable personal license to use that software.

This license is limited to your lawful use of EZTalking learning functions and services in compliant situations. The software and related functions remain the property of EZTalking and are protected by intellectual property law.

Restrictions

Unless permitted by law or authorized in writing by EZTalking, you may not:

  • Reverse engineer, decompile, decode, or otherwise attempt to derive the source code of the software
  • Modify, copy, reproduce, sell, resell, or distribute the software or its content
  • Integrate the software into another platform, system, or third-party service
  • Remove or alter copyright notices, logos, trademarks, or other proprietary notices

Automatic Updates and Function Changes

To improve learning quality and user experience, EZTalking reserves the right to update the software, fix errors, and add or remove features from time to time. By continuing to use an updated version, you agree to the terms and changes associated with that version.

Third-Party Components and Licenses

If the software includes components provided by third parties, such as open-source modules or speech scoring engines, their license terms will be published separately or included with the installation package. You must also comply with those third-party license terms.

Limitation of Liability

Unless otherwise required by applicable law, EZTalking, its affiliates, directors, employees, partners, and authorized agents are not liable for any loss, damage, or responsibility arising from the use of, or inability to use, the Service, whether or not such loss was foreseeable or EZTalking had been advised of the possibility, including but not limited to:

  • Interruption of learning progress or loss of learning results caused by system errors, delays, failures, or inaccurate information
  • Damage to personal devices or loss of data resulting from use of the Platform
  • Unauthorized account access, manipulation, or alteration of information
  • Effects caused by suspension, termination, or unavailability of Platform functions
  • Damage caused by third-party malware, viruses, or hacker activities
  • Disputes arising from content uploaded, published, or shared by learners or other users
  • Content being deleted, blocked, unavailable, or used internally within the Platform

These limitations apply regardless of the legal theory asserted, including contract, tort, negligence, statutory breach, or otherwise. The content and functions of the Platform are provided on an "as is" and "as available" basis, without guarantees of completeness, accuracy, or uninterrupted availability.

EZTalking will use reasonable efforts to maintain platform security and service quality, but users must still bear related risks and use the Platform only in lawful, reasonable, and appropriate ways.

XI. Intellectual Property and Legal Liability

  • All EZTalking content, including characters, images, speech technologies, and platform UI, belongs to the Platform or its licensors.
  • Any unauthorized use, distribution, or reproduction may result in legal action by EZTalking.

XII. About This Agreement

Changes to the Agreement

We may modify these Terms of Service at any time to reflect updates to EZTalking teaching content, changes to system functions, legal requirements, or platform security needs. Material changes will be announced on the Platform or sent by email in advance so that you have an opportunity to review them.

However, we may make changes without prior notice when (1) adding new functions, modules, activities, or teaching services, or (2) responding to emergencies, security risks, or legal requirements. If you do not agree with the updated Terms, stop using the Platform and remove any content you have uploaded.

Survival

Even if you stop using the Service, provisions of this Agreement relating to intellectual property, limitation of liability, license duration, and legal effect will remain in force.

Severability

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver

If we do not immediately act on a breach of this Agreement, that does not mean we waive any right to enforce or pursue our rights later.

Interpretation

The term "including" in these Terms means "including without limitation." Examples are illustrative only and do not limit or exclude anything else.

Governing Law and Jurisdiction

The interpretation and application of this Agreement, and any dispute arising out of or related to the use of the Service, shall be governed by the laws of the Republic of China (Taiwan), with the Taiwan Taipei District Court as the court of first instance.
